Titania Store EULA

This End User License Agreement (“EULA”) sets out the terms on which Titania licenses software and related services (the “Software”) made available through the Titania Store. The Titania Store is hosted by Cleverbridge GmbH. 

The Software is for business use only. By purchasing a license, you confirm that you are acting for business or professional purposes and not as a consumer.
By purchasing, downloading, accessing or using the Software via the Titania Store, you agree to be bound by this EULA and Cleverbridge’s terms and conditions as displayed in the Titania Store. If you are acting on behalf of a company or other organization, you confirm that you have the authority to bind that organization to this EULA. If you do not agree to these terms, you must not purchase, download, access or use the Software.

The Software may be used for your own internal business purposes and, where applicable, to provide services to third parties, in each case in accordance with this EULA.

1.    License, Term & Permitted Use

1.1    License Grant. The Software is licensed, not sold. Subject to your compliance with this EULA and payment of the applicable fees, Titania grants you and your authorized employees and contractors (“Authorized Users”) a limited, non-exclusive, non-transferable, non-sublicensable license to access, install and use the Software subject to the specific use and quantity restrictions relevant to your chosen License Tier as specified at the time of purchase. 

1.2    License Term. This license is granted for the period specified at the time of purchase through the Titania Store, or, if no period is specified, for a period of 12 months from the date of purchase. The license will automatically renew for successive periods equal to the initial license period unless you cancel prior to the end of the then-current period in accordance with the cancellation process operated by Cleverbridge, as described here.  

1.3    Scope of use. You may use the Software:
•    for your own internal business purposes; and
•    if applicable, to provide services to third parties (including as an assessor, consultant or managed service provider),
in each case in accordance with this EULA and the license purchased through the Titania Store.

1.4    Responsibility for Outputs. Subject to this EULA, you may use the Outputs generated by the Software for your own business purposes and, where relevant, provide those Outputs to third parties as part of your services. Outputs are provided for information and decision support purposes only. You are solely responsible for how you use the Outputs, including any advice, recommendations or services you provide based on them. Titania does not provide professional advice and is not responsible for any actions taken in reliance on the Outputs.

1.5    Conditions for Third-party Use. Where you use the Software to provide services to third parties, you must ensure that you have all necessary rights, permissions and authority to use the Software in relation to the relevant systems, Devices or data. You may provide Outputs to third parties only as part of your own services. You must not provide any third party with access to, or permit any third party to use or operate, the Software itself unless expressly agreed in writing by Titania.

1.6    License Restrictions. You must not, and must not permit any Authorized User or third party to:
•    use the Software other than as permitted by this EULA;
•    copy, modify, adapt, translate, distribute, resell or otherwise exploit the Software;
•    reverse engineer, decompile, disassemble or attempt to derive the source code or underlying structure of the Software;
•    remove or alter any proprietary notices;
•    use the Software in violation of Applicable Laws or third-party rights; or
•    introduce any malicious code into the Software or related systems.


1.7    Channel Partner Sales. The Titania Store is for end user licensing only. You must not resell, sublicense, distribute or otherwise make the Software available to any third party. If you wish to purchase Software on behalf of a third party for the purposes of resale or onward licensing, you must enter into a separate channel partner or reseller agreement with Titania. 

1.8    Online Purchases Only. The Titania Store is for purchases by direct customers only and does not support procurement or payment via resellers, distribution partners or other intermediaries. If you wish to procure or pay for the Software through a partner or intermediary, this must be arranged through one of Titania’s account managers.


2.    Software & Support

2.1    Access to the Software. Following your purchase, Titania will make the Software available to you through your customer account. You are responsible for downloading, installing and using the Software in accordance with the Documentation and any guidance provided by Titania. Access to and use of the Software is subject to the license granted under this EULA and any applicable use or quantity limits associated with your purchase.

2.2    Documentation & Guidance. Titania provides Documentation to help you get the most out of the Software, including user guides, release notes, supported device information, system requirements, troubleshooting guidance and other technical resources. These materials are primarily available through Titania’s online Knowledge Base. You may use the Documentation solely in connection with your authorized use of the Software.

2.3    Your Users. You are responsible for all use of the Software by your Authorized Users. You must ensure that access to the Software is limited to Authorized Users and any access credentials are kept secure and are not shared in any unauthorized way. You must promptly notify Titania if you become aware of any unauthorized access to the Software.

2.4    Support & Updates. During the license term, Titania will provide support and updates for the Software with reasonable care and skill, in accordance with the support tier applicable to your purchase. Details of the available support tiers and associated service levels are set out in the Standard Support Schedule. Support includes the provision of updates to the Software in line with Titania’s product lifecycle and support approach as described in the Standard Support Schedule.

2.5    Changes to the Software. Titania may update, modify or enhance the Software from time to time to improve functionality, security or performance, in line with its product lifecycle and support approach as described in the Standard Support Schedule.

2.6    No Reliance on Future Functionality. The Software is provided based on its current functionality. Accordingly, you acknowledge and confirm that your purchase is not contingent on the delivery of any future features, functionality or enhancements.

3    License Tracking, Usage Data & Compliance

3.1    Licensing and Activation. Titania uses a licensing solution to activate the Software and to administer, validate and enforce the license granted under this EULA. For purchases made through the Titania Store, the Software is deployed and managed using Titania’s standard online activation model. Under this model, the licensing management platform forming part of the licensing solution is hosted by Titania’s third-party provider, and the Software connects to that platform to verify your license entitlements and authorized use. In this context, Usage Data is transmitted automatically by the Software to the hosted licensing platform in accordance with the Documentation.

3.2    Offline and Air-Gapped Deployment. Offline and air-gapped deployment models are no longer available through the Titania Store. If you require an offline or air-gapped deployment, this must be agreed separately with Titania. Such licenses will also be subject to a different ordering process and/or additional terms.

3.3    Usage Data. To support Titania’s licensing processes, the Software and licensing solution generate and use data relating to the activation, installation, access to and use of the Software, including license consumption data, timestamps, audit logs and relevant device or assessment counts (“Usage Data”). Titania may collect, use and retain Usage Data for license administration, entitlement validation, compliance monitoring, audit, enforcement and related operational purposes. Usage Data does not include the content of your configurations or other customer-specific data processed through the Software and does not form part of any data you input into the Software.

3.4    Performance Data. Titania may also collect and use anonymized and aggregated data relating to the delivery, use and performance of the Software and licensing solution (“Performance Data”) for the purposes of operating, maintaining, analyzing and improving the Software and related services. Performance Data will not identify you or any individual user.

3.5    Compliance Checks. During the license term, Titania may request written confirmation that your use of the Software complies with this EULA, including any applicable use and quantity limits. If Titania reasonably suspects that the Software is being used in breach of this EULA, Titania may require you to provide such additional information and assistance as is reasonably necessary to verify compliance and investigate the suspected breach. This may include remote audits, written responses, supporting documentation and virtual meetings. You must cooperate fully with any such compliance check. Titania will only request information reasonably necessary to verify compliance.

3.6    Overuse & Misuse. If Usage Data, a compliance check or any other information available to Titania shows that you have exceeded any permitted use or quantity limits, shared access in breach of this EULA, or otherwise used the Software in a way that is not authorized, you must promptly stop the non-compliant use and take any steps reasonably required to remedy the breach. This may include paying any additional fees due for excess use.

3.7    Suspension & Enforcement. Titania may suspend, restrict or disable access to the Software or the relevant activation code where reasonably necessary to prevent or stop unauthorized or non-compliant use. Any such action is without prejudice to Titania’s other rights and remedies.

4    Fees, Payment & Renewal

4.1    Fees & Payment. The fees for the Software are as displayed in the Titania Store at the time of purchase. All fees are payable in advance at the point of purchase. Fees are exclusive of any applicable taxes, which will be charged in addition where required.

4.2    Auto-renewal. Your license will automatically renew for successive periods in accordance with clause 1.2 unless you cancel prior to the end of the then-current period using the cancellation process operated by Cleverbridge. By purchasing the Software, you agree that applicable fees will be charged for each renewal period unless the license is cancelled. 

4.3    Cancellation & Refunds. Payments for the Software are processed by Cleverbridge. Titania does not generally offer cancellations or refunds. Any requests for cancellation or refund must be made through Cleverbridge and will be subject to Cleverbridge’s terms and any applicable refund policies. 

4.4    Overuse & Additional Fees. If you exceed any applicable use or quantity limits, you must promptly pay all additional fees associated with that use in accordance with this EULA.

5    Warranties & Disclaimers

5.1    Limited Warranty. Titania warrants that, during the license term, the Software will materially conform to the applicable Product Specifications when used in accordance with this EULA. For the purposes of this warranty, a material non‑conformity means a failure that prevents or significantly impairs the core functionality of the Software as described in the Product Specifications. This limited warranty does not apply to any failure arising from:
•    use of the Software other than in accordance with this EULA or any applicable instructions or requirements referenced in it;
•    failure to implement updates or use a supported version of the Software in accordance with Titania’s product lifecycle and support approach;
•    incorrect configuration, input data or use of the Software; or
•    any systems, devices or environments not supported by the Software.

5.2    Warranty Remedy. If the Software does not comply with the limited warranty in clause 5.1, you must notify Titania with reasonable details of the issue. Titania will use commercially reasonable efforts to investigate and, where applicable, correct the issue within a reasonable period. If Titania is unable to resolve a material issue, your sole remedy will be termination of the affected license and a pro rata refund of any prepaid fees for the unused portion of the license term.

5.3    Outputs & Use of the Software. The Software and any Outputs are provided for informational and decision support purposes only. Accordingly, you agree that:
•    Outputs are generated based on the information, configurations and parameters made available to the Software at the time of use and Titania’s interpretation of applicable benchmarks or standards.
•    Outputs do not constitute legal, regulatory, compliance, security or other professional advice, and do not represent a guarantee that any system, configuration or environment is secure, compliant or free from vulnerabilities.
•    Any remediation guidance, recommendations, prioritization or suggested actions provided through the Software or Outputs are indicative only and are not guaranteed to remediate vulnerabilities, eliminate risk, ensure compliance or prevent security incidents.
•    You are solely responsible for how you use the Software and Outputs, including any decisions, actions or recommendations made based on them.

5.4    Third-Party Content & Standards. Where the Software references, maps to or relies on third-party standards, frameworks or security content, such references are provided for informational purposes only. Titania does not warrant that such content is complete, current or applicable to your specific use case, and the accuracy and relevance of any Outputs may depend on the version and content of such third-party materials.

5.5    Configurability & Licensee Responsibility. To the extent that the Software allows you to configure or customize aspects of its operation and Outputs, including the selection or application of benchmarks, methodologies, thresholds, mappings or report formats, and you make use of such configurability, you agree that:
•    You are solely responsible for determining the appropriateness of your chosen configuration and for any conclusions, assessments, decisions or actions taken based on the resulting Outputs.
•    Titania does not recommend, endorse or validate any configuration, methodology or approach selected by you, and is not responsible for any interpretation or use of Outputs arising from your chosen settings.

5.6    Disclaimer. Except as expressly set out in this EULA, the Software, Outputs and any related documentation are provided “as is” and “as available”. To the fullest extent permitted by Applicable Law, Titania disclaims all warranties, conditions and other terms of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Software or Outputs will be uninterrupted, error-free or achieve any particular result. Nothing in this EULA excludes or limits any warranty or right that cannot be excluded under Applicable Law.

6    Intellectual Property & Data Rights

6.1    Ownership & License Scope. The Software, the Documentation and all intellectual property rights in and to them, including all updates, enhancements and new versions, are and shall remain the sole and exclusive property of Titania and its licensors. Nothing in this EULA transfers to you any ownership interest in the Software or Documentation. Except for the limited license expressly granted under this EULA, no other rights are granted to you.

6.2    Licensee Data & Data Use. As between the parties, you retain all right, title and interest in and to any data you input into the Software (“Licensee Data”). Please note that Licensee Data is ordinarily retained within your environment and is not accessed or processed by Titania as part of the normal operation of the Software save where such information is provided to Titania to enable investigation and resolution of support issues. For the avoidance of doubt, Usage Data and Performance Data do not constitute Licensee Data.

6.3    Personal Data. To the extent any Licensee Data provided to Titania includes personal data, Titania will process that personal data solely for the purpose of providing support and in accordance with its Data Processing Schedule. 

6.4    Feedback. If you or your Authorized Users provide feedback relating to the Software, Titania may use and incorporate that feedback without restriction, provided that it does not disclose your Confidential Information.

7    Intellectual Property Indemnity

7.1    Titania Indemnity. Titania will defend and indemnify you against any third‑party claim that your use of the Software in accordance with this EULA infringes that third party’s intellectual property rights.

7.2    Exclusions. Titania will have no liability under clause 7.1 to the extent that any claim arises from:
•    use of the Software in breach of this EULA or Applicable Laws;
•    use of the Software in combination with any hardware, software or services not provided by Titania; or
•    any modification of the Software not made by or on behalf of Titania.

7.3    Infringement Response. If Titania reasonably determines that the Software is likely to become subject to a claim under clause 7.1, Titania may, at its option and expense:
•    procure the right for you to continue using the Software; 
•    replace or modify the Software so that it becomes non infringing while retaining materially equivalent functionality; or 
•    terminate your license and provide a pro rata refund of any prepaid fees for the unused portion of the license term.

7.4    Claim Handling. You must promptly notify Titania of any claim under this clause and provide reasonable cooperation and assistance in connection with the defense or settlement of the claim. Titania will have control of the defense and settlement of the claim, provided that it will not agree any settlement that imposes any non‑monetary obligation on you or admits liability on your behalf without your prior consent (not to be unreasonably withheld).

7.5    Sole Remedy. This clause sets out your sole and exclusive remedy for any claim that the Software infringes a third party’s intellectual property rights.


8    Confidentiality

8.1    Use of Confidential Information. Each party must keep the other party’s Confidential Information secure and must:
•    only use it to exercise its rights or meet its obligations under this EULA;
•    take reasonable care to protect it; and
•    only share it with employees, contractors or advisers who need to know it and who are required to keep it confidential.
Each party is responsible for anyone it shares Confidential Information with.

8.2    Permitted Disclosures. A party may disclose Confidential Information where required by law, regulation or legal process, provided that (to the extent permitted) it gives the other party notice and only discloses what is legally required.

8.3    Remedies. Each party acknowledges that unauthorized use or disclosure of Confidential Information may cause harm that may not be adequately remedied by damages, and that the other party may seek appropriate legal remedies.

8.4    Survival. These confidentiality obligations will continue for so long as the relevant information remains confidential.


9    Limitation of Liability

9.1    Excluded Losses. To the fullest extent permitted by law, neither party will be liable for any indirect or consequential loss, or for loss of profit, revenue, business or goodwill arising out of or in connection with this EULA.

9.2    General Liability Cap. Subject to clauses 9.3 and 9.4, each party’s total liability arising out of or in connection with this EULA will not exceed the total fees paid or payable for the Software in the 12 months preceding the event giving rise to the claim.

9.3    Higher Risk Matters. The exclusions and liability cap in this clause do not apply to:
•    breaches of confidentiality obligations;
•    breaches of data protection obligations (where applicable); or
•    Titania’s indemnity for intellectual property infringement.
Liability for these matters will be capped at USD $100,000.

9.4    Misuse of the Software. Nothing in this EULA limits your liability for misuse of the Software, including, use beyond permitted limits, circumvention or attempted circumvention of license controls, or use in breach of the license scope or restrictions. Your liability for such misuse will be uncapped including any indirect or consequential losses arising from such misuse.

9.5    Uncapped Liabilities. Nothing in this EULA limits or excludes liability for, death or personal injury caused by negligence, fraud or fraudulent misrepresentation; or any liability that cannot be limited or excluded by law.


10    Term & Termination
10.1    Term. This EULA continues for the duration of your license, including any renewal periods, unless terminated earlier in accordance with this clause 10.

10.2    Termination. Either party may terminate this EULA if the other party materially breaches it and does not fix the breach within a reasonable period after being asked to do so. Titania may also terminate this EULA immediately if continued use of the Software would breach Applicable Laws or regulatory requirements.

10.3    Suspension. Titania may suspend or restrict access to the Software where reasonably necessary to address a breach of this EULA or comply with Applicable Laws or regulatory requirements. Any suspension will last only for as long as necessary to address the relevant issue.

10.4    Effect of Termination. On expiry or termination of this EULA:
•    your right to access and use the Software will end immediately;
•    you must stop using the Software and delete any copies in your possession; and
•    any amounts due and payable will remain payable. 
Except where expressly stated in this EULA, fees are non‑refundable.

10.5    Survival. Any provisions which are intended to continue after termination will remain in force, including those relating to intellectual property, confidentiality, warranties, indemnity and liability.


11    Compliance with Laws & Trade Controls

11.1    Compliance with Applicable Laws. You must comply with all Applicable Laws in connection with your use of the Software.

11.2    Export Control. You must not access, use, export, re‑export or otherwise make the Software or any Outputs available in breach of any Applicable Laws relating to export controls, economic sanctions or trade restrictions, including those of the United Kingdom, the United States, the European Union and any other relevant jurisdiction.

11.3    Trade Restrictions. You represent and warrant that you are not subject to any applicable sanctions or trade restrictions and are not located in or acting on behalf of any person or entity in a jurisdiction subject to comprehensive sanctions or embargoes. Further, you acknowledge and accept that:
•    Titania may conduct reasonable compliance checks and may request information or confirmation to support its legal and regulatory obligations.
•    Titania may restrict or decline supply of the Software, or require that the Software be supplied through a partner or alternative channel, where necessary to comply with Applicable Laws or regulatory requirements.
•    If Titania reasonably determines that your use of the Software may breach Applicable Laws or regulatory requirements, Titania may refuse, restrict or suspend access to the Software without liability.

12    General 

12.1    Force Majeure. Neither party will be responsible for any failure or delay in performing its obligations under this EULA due to events outside its reasonable control.

12.2    Governing Law & Jurisdiction. This EULA and any dispute or claim arising from it will be governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction.

12.3    Notices. Formal notices under this EULA must be in writing and may be sent by email to the relevant contact details made available by the parties. Notices to Titania must also be sent to legal@titania.com. Notices will be treated as received at the time of transmission, unless the sender receives notice that the email was not delivered.

12.4    Assignment. You may not assign or transfer this EULA without Titania’s prior written consent. Titania may assign this EULA as part of a corporate reorganization, merger or sale of its business.

12.5    Relationship. The parties are independent contractors and nothing in this EULA creates any partnership, joint venture or agency relationship.

12.6    Publicity. Titania may include your name and logo in its customer lists and general marketing materials unless you notify Titania that you do not wish to be identified.

12.7    Entire Agreement. This EULA sets out the entire agreement between the parties in relation to its subject matter and replaces any earlier discussions or agreements.

12.8    Changes to this EULA. Titania may update this EULA from time to time. Any updated version will apply to renewals or new purchases.

12.9    Severability. If any part of this EULA is held to be invalid or unenforceable, the rest will remain in full force and effect.


13    Key Terms & Definitions

Some words used in this EULA have specific meanings. When these words are capitalized, they have the meanings set out below:

“Applicable Laws” - means all laws, regulations and legal requirements applicable to a party in connection with this EULA.

“Authorized Users” - means your employees and contractors who are authorized to access and use the Software on your behalf (see clause 1.1).

“Confidential Information” - means any information that is identified as confidential or that would reasonably be understood to be confidential, including information relating to the Software, business operations or commercial arrangements of a party.

“Device” - means a physical or virtual network device (such as a firewall, router or switch) that is supported by the Software and assessed using the Software.

“Documentation” - means the documentation and guidance provided by Titania to support the use of the Software, including materials available through Titania’s Knowledge Base.

“Licensee Data” - means any data that you input into the Software (see clause 6.2).

“License Tier” - means the commercial packaging of the Software that determines the licensed scope and available functionality, as specified in the Titania Store at the time of purchase and further described in the Product Specification.

“Outputs” - means the results, reports, assessments or other information generated by the Software.

Performance Data” - means anonymized and aggregated data relating to the use and performance of the Software (see clause 3.4).

“Product Specification” - means the product specifications made available by Titania for the Software at the time of purchase, describing the core functionality and intended use of the Software.

“Software” - means the software and related services made available by Titania through the Titania Store.

“Titania Store” - means Titania’s online store through which the Software is made available for purchase.

“Usage Data” - means data relating to the activation, installation, access to and use of the Software, including license usage, system activity and device or assessment counts, as described in this EULA (see clause 3.3).
